Terms of Service

These Terms of Service ("Terms") govern your access to and use of ChapterPulse, operated by NekoTech Ventures Inc. ("we," "us," or "Company"). By accessing or using ChapterPulse, you agree to be bound by these Terms.

1. Description of Service

ChapterPulse is a web-based operations platform for professional association chapter volunteers. The service includes a visual newsletter builder, event registration tracking, member directory management, automated report generation, volunteer coordination tools, AI-assisted content drafting, conversational data insights, event check-in, and a companion mobile application.

2. Account Registration

Access to ChapterPulse requires an account. You may be invited by an organization administrator or create an account through an authorized invitation link. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Acceptable Use

You agree not to:

  • Use ChapterPulse for any unlawful purpose
  • Attempt to gain unauthorized access to other accounts or organization data
  • Interfere with or disrupt the service or its infrastructure
  • Upload malicious code, viruses, or harmful content
  • Use the service to send unsolicited commercial messages in violation of applicable anti-spam laws (including CASL and CAN-SPAM)
  • Scrape, crawl, or automatically extract data from the service
  • Reverse engineer, decompile, or disassemble any part of the service
  • Resell, sublicense, or redistribute access to the service

4. Customer Responsibilities and Third-Party Platforms

ChapterPulse integrates with third-party platforms (such as chapter management systems, association portals, analytics tools, and volunteer coordination systems) to retrieve and synchronize data on your organization's behalf. These integrations operate using credentials and access rights that your organization provides to ChapterPulse.

By providing third-party platform credentials to ChapterPulse, you represent and warrant that:

  • Your organization is independently authorized to access the third-party platform and the data contained within it
  • Your organization has the right to delegate automated access to an authorized service provider acting on its behalf
  • Your use of ChapterPulse to retrieve, store, and process data from the third-party platform complies with the third-party platform's terms of use, acceptable use policies, and any applicable data sharing agreements between your organization and the platform operator
  • If the third-party platform operator restricts or revokes your organization's access, you will promptly notify us and, if necessary, disable the affected integration

ChapterPulse acts solely as your organization's data processor when accessing third-party platforms. We do not independently claim any right to access these platforms or the data they contain. If a third-party platform operator contacts us regarding your organization's use of ChapterPulse, we may suspend the affected integration and notify you.

You agree to indemnify NekoTech Ventures Inc. against any claims, damages, or expenses arising from your organization's breach of a third-party platform's terms of use in connection with your use of ChapterPulse.

5. Intellectual Property

Our Property

ChapterPulse, including its software, design, documentation, and branding, is the intellectual property of NekoTech Ventures Inc. and is protected by copyright and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the service for its intended purpose during your subscription.

Your Data

You retain all ownership rights to the content and data you or your organization upload to ChapterPulse, including newsletter content, member data, event records, and report configurations. We claim no ownership over your data.

Third-Party Trademarks

ChapterPulse is an independent product of NekoTech Ventures Inc. and is not affiliated with, endorsed by, or sponsored by any third-party organization whose name or marks may appear in the service or on our website. All third-party trademarks, service marks, and logos referenced in ChapterPulse or its documentation remain the property of their respective owners and are used solely for identification purposes. "PMI," the PMI logo, "PMP," "CAPM," "PMI-ACP," and "PMBOK" are registered trademarks of the Project Management Institute, Inc.

6. AI Features

ChapterPulse includes AI-assisted features for content drafting and data analysis. These features are provided as productivity tools and their outputs should be reviewed before use. AI-generated content may contain inaccuracies. We do not guarantee the accuracy, completeness, or suitability of AI outputs for any particular purpose.

7. Subscription and Payment

ChapterPulse is offered on a subscription basis. Pricing, billing cycles, and payment terms are presented at the time of purchase. Subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days notice.

8. Disclaimer of Warranties

CHAPTERPULSE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEKOTECH VENTURES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF CHAPTERPULSE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

Your Indemnification

You agree to indemnify and hold harmless NekoTech Ventures Inc. from any claims, damages, or expenses arising from your use of ChapterPulse, your violation of these Terms, or your organization's content uploaded to the service.

Our Indemnification

We will indemnify and hold you harmless from any third-party claims alleging that ChapterPulse infringes their intellectual property rights, provided you promptly notify us and allow us to control the defense.

11. Termination

Either party may terminate these Terms with 30 days written notice. Upon termination:

  • You may request export of your organization's data before the termination date
  • We will delete your data within 30 days of termination, except where required by law
  • Any outstanding fees remain payable

We may suspend or terminate your access immediately if you violate these Terms or if required by law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Alberta, Canada.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms due to events beyond its reasonable control, including natural disasters, acts of government, internet outages, or third-party service disruptions.

14. Publicity and Customer References

Unless you notify us otherwise in writing, we may identify your organization as a ChapterPulse customer and use your organization's name and logo on our website, marketing materials, and client lists. We may also publish brief case studies or testimonials describing your use of ChapterPulse, provided we obtain your prior written approval for any specific quotes attributed to you or your organization.

You may opt out of this section at any time by sending written notice to info@chapterpulse.com. Upon receipt of an opt-out notice, we will remove your organization's name and logo from our marketing materials within 30 days.

15. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and NekoTech Ventures Inc. regarding ChapterPulse.

17. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms and updating the "Last updated" date. Continued use of ChapterPulse after changes constitutes acceptance.
